CONDITIONS AGREED BY BOTH PARTIES

A. Acceptance, Modication.

AcceptancebyBuyerofdeliveryofthegoodsindicatesacceptancebySellerandBuyeroftheWarrantyandTermsandConditions

herein.AnyadditionalordifferenttermsproposedbyBuyershallbedeemedobjectedtobySellerwithoutneedoffurthernoticeof

objectionandshallbeofnoeffectnorinanycircumstancesbindinguponSeller.NoprovisionoftheseTermsandConditionsshall

bedeemedwaived,amendedormodiedbyeitherpartyunlesssuchwaiver,amendmentormodicationbeinwritingsignedby

adulyauthorizedsignatoryofthepartyagainstwhomitissoughttoenforcethewaiver,amendmentormodication.

B. Cancellation.

ThissalecannotbecanceledexceptupontermsthatwillcompensateSelleragainstlossandnotunlesswrittenapprovalofsaid

cancellationhasbeenobtainedfromSeller.

C. Claims.

(1) BuyerisdeemedtohaveacceptedtheProductsunlesswrittennoticeofrejectionisgivenwithinareasonabletime,which

isagreedtobewithinthree(3)businessdaysafterreceipt.Failuretomakesuchclaimwithinthestatedperiodshall

constituteirrevocableacceptanceandanadmissionthatthegoodsfullycomplywithterms,conditionsandspecications.

(2) ClaimsoflatedeliveryarebarredunlessmadepriortoreceiptofProductsandthereceiptofanyProductsshallconstitute

awaiverofanyclaimthattheywerereceivedlate.

(3) NoreturnofProductswillbeacceptedbySellerwithoutaReturnMaterialAuthorizationnumber(RMA#),whichwillbe

issuedatSeller’ssolediscretion.ReturnedProductsshouldbeinoriginalshippingcartonsandbecompletewithall

packingmaterials.Acompletedescriptionregardingthenatureofthereturnedgoodsmustbeincludedwithallreturned

Products.

(4) Custom programmed or custom printed cards or tags are not returnable.Stockitemsreturnedforcreditmustbe

pre-approvedbySellerandmustbeassignedareturnmaterialauthorizationnumber.TheseProductsmustbeintheir

originalpackaging.

D. Delivery and Title.

SubjecttoSeller’srightofstoppageintransit,deliveryoftheProductstoacarriershallconstitutedeliverytoBuyer,andriskof

lossshallthereuponpasstoBuyer,howevertitleshallremainwithSelleruntilBuyermakespaymentinfullunderthecontract.

ProductsinvoicedandheldbySellerforanyreasonshallbeatBuyer’sriskandexpense.Deliveryrouteshallbeatthediscretion

ofSellerunlessspecicallydesignatedbyBuyer.

E. Price Fluctuations and Product Specications.

Pricesquotedareineffectforthirty(30)daysfromdateofquotationafterwhichtimetheyaresubjecttolaborand/ormaterialcost

uctuations.Pricesandproductspecicationsaresubjecttochangewithoutnotice.

F. Governing Law.

ThissaleshallbegovernedbythelawsoftheStateofCalifornia.

G. Taxes/Freight.

Unlessotherwiseagreedinwriting,theamountofalltransportationchargesfromSeller’slocationandalltaxesorothercharges

noworhereafterimposedbyanygovernmentalauthorityuponthesale,purchase,resale,delivery,manufacture,productionor

possessionoftheProductsspeciedherein,whichmaybepaidbySellerorforwhichSellerisliable,shallbepaidtoSellerby

BuyerinadditiontothepurchasepriceoftheProducts.

H. Payment of Invoices.

WhenSecuraKeygrantsanopenaccount,paymentisduewithinthetermssetfortheaccount.Ifpaymentisnotreceivedwithin

thatterm,anancechargeof1.5%permonthwillbeassessedontheunpaiddelinquentbalance.Intheeventpaymentisnot

madeinatimelymannerandadditionalordersarereceivedorareinprocess,SecuraKeymayplacetheaccountonholdpending

receiptofallamountsdue.

I. Advice.

IftechnicaladviceisofferedorgiveninconnectionwiththeuseofanyProductsitwillbegivenasanaccommodationtoBuyer

andwithoutchargeandSellershallhavenoresponsibilitiesorliabilitieswhatsoeverforthecontentoruseofsuchadvice.

J. Installation/Training.

Buyeracknowledgesthatnoinstallation,trainingorcontractededucationiscontractedfororpurchasedunderthetermsofthis

contractunlessspecicallyagreedinwriting.IntheeventthatBuyerreceivesanytrainingfromSellerwithrespecttotheProducts,

then,inthatevent,suchtrainingispersonaltothepersonreceivingsuchtraining,andBuyeracknowledgesthatanyperson

receivingsuchtrainingmaynotbecapableofoperatingtheProducts.

K. General.

(1) Thiscontractcontainstheentireagreementbetweenthepartiesandsupercedesanypriororcontemporaneousoralor

writtenagreementsorcommunicationsbetweenthemrelatingtothesubjectmatterhereof.

(2) Thiscontractmaynotbeassigned,modiedorcancelledwithoutSeller’spriorwrittenconsent,andanyattemptto

assign,modifyorcancelitwithoutsuchconsentshallbeabsolutelyvoid

(3) Nodelayoromissiontoexerciseanyright,powerorremedyaccruingtoSelleruponbreachordefaultbyBuyerunder

thiscontractshallimpairanysuchright,powerorremedyofSeller,orshallbeconstruedasawaiverofanysuchbreach

ordefault.Allwaiversmustbeinwriting.

(4) Intheeventanyoftheprovisionshereofshall,foranyreason,beheldvoidorunenforceable,theremainingprovisions

shallremaininfullforceandeffectandshallcontrol.

(5) Anyprovisionsofthiscontractprohibitedbythelawofanystateshall,astosaidstate,beineffectivetotheextentof

suchprohibitionwithoutinvalidatingtheremainingprovisionsofthiscontract.

(6) Itisagreedthatintheeventofadisputebetweentheparties,foranyreasonconnectedwiththepurchaseoftheitems

mentionedinthiscontract,orinanywayrelatedthereto,thepartiesagreetosubmitthecontroversyfordecisiontothe

AmericanArbitrationAssociationtotheofcelocatedinLosAngelesCounty,CA.
